How to read insider trading data in India

Promoters, directors and key managerial personnel must publicly report their trades in their own company's shares. These disclosures are legal and routine, and they are not the same as illegal insider trading. This page nets each company's market purchases against its market sales over the lookback window and shows the average price, the trade value and the size relative to market cap. New to the data? Using the screener

  3. Sort by conviction or net flow to bring the largest insider flows to the top.

Insider trading terms

  • Net flow: Value of market purchases minus market sales for a company.
  • Avg price: Weighted average price of the winning side: buyers when net buying, sellers when net selling.
  • Price edge: Current price versus that average price.
  • Size vs mcap: Net value as a share of the company's market capitalisation.
  • Prints: Number of separate insider disclosures for the company in the window.
  • Conviction and risk regime: A 0 to 100 ranking of flow strength and a label for how one-sided or unstable it is.

Net insider buying

Several insiders buying in the open market, with a meaningful size against market cap, carries more weight than a single small filing.

Net insider selling

Sales often reflect taxes, loans or ESOP exercises. Repeated selling across insiders is more informative than one filing.

Where the data misleads

Disclosures lag the trade, pledges and transfers are not market trades, and a person's motive is never part of the filing.

Insider trading data: frequently asked questions

What is insider trading disclosure data?

Promoters, promoter group members, directors, key managerial personnel and designated persons must report their trades in their company's shares when the value crosses the limit set in the SEBI insider trading regulations. The company passes the report to the exchanges, and this page nets the market purchases against the market sales for each company.

Is this the same as illegal insider trading?

No. Illegal insider trading means trading on unpublished price-sensitive information. The trades shown here are legal and publicly disclosed, so they are available to everyone after the filing.

How is net insider flow calculated?

Net flow is the value of market purchases minus the value of market sales for a company in the lookback window. Pledges, ESOP allotments and off-market transfers are not counted as buying or selling, a re-published filing is counted once, and rows with an obviously wrong price are excluded.

What do average price, price edge and size vs mcap mean?

Average price is the weighted average price on the winning side: the buyers' average when insiders net bought, the sellers' average when they net sold. Price edge compares the current price with that average. Size vs mcap is the net value as a percentage of the company's market capitalisation.

Is promoter buying a bullish signal?

It is information, not a forecast. Promoter purchases can reflect confidence, but they can also follow stake rules or a preferential issue. The size against market cap, the number of insiders buying and the company's fundamentals matter more than the purchase alone. This page is educational and is not investment advice.

Why do promoters and directors sell shares?

Common reasons include taxes, loan repayment, diversification, ESOP exercises, meeting public shareholding rules and personal liquidity. Many sales say little about the business, so read the original filing before drawing a conclusion.
